TERMS AND CONDITIONS


The commercial operations of Young Technologies Comercial Ltda follow standards of transparency and compliance with the corporate technology market.

The terms below define the general conditions governing the intermediation, purchase, and supply of technological solutions between clients and partner distributors.

  1. Nature of Commercial Intermediation                                                                                                                                                                             

    Young Technologies Comercial Ltda acts exclusively as a sales intermediary between the end customer and partner distributors/manufacturers.

    The issuance of the invoice, billing, and delivery of products are the responsibility of the distributor indicated in the commercial proposal.

    Young Technologies does not engage in direct sales of products, limiting itself to representation, consulting, and monitoring the commercial process.

  2. Validity of the Proposal and Price Conditions                                                                                                                                                                   

    Commercial proposals are valid for 5 (five) business days, or until the end of the stock indicated by the distributor.

    The prices presented are subject to change without prior notice due to exchange rate fluctuations, manufacturer adjustments, or tax changes.

    Products quoted in foreign currency will be converted to Brazilian Reais (R$) based on the PTAX selling rate of the business day prior to billing.

  3.  Payment Conditions and Credit Analysis                                                                                                                                                            

    Payment conditions follow the deadline established in the proposal (standard: 30 days DDL, unless specific agreements are made).

    All sales are subject to the distributor's credit analysis, and advance payment, reduced limits, or additional guarantees may be required.
     
    Failure to pay by the due date may result in interest and penalties on the outstanding amount, as well as the suspension of new operations.

  4.  Delivery and Transportation Responsibility.
                                                                                                                                                            
    Transportation, delivery times, and conditions are the responsibility of the supplying distributor.

    Young Technologies will monitor the process to ensure transparency but is not responsible for any delays, damages, or losses that occur during transportation.

    It is the customer's responsibility to check the goods at the time of delivery and refuse acceptance in case of discrepancies.

  5. Exchanges, Returns, and Warranties                                                                                                                                                              

    In case of defect, exchange, or return, the customer must open a request directly with the responsible distributor or manufacturer, according to the RMA (Return Merchandise Authorization) policy of each partner.

    Young Technologies will assist in mediating the process but does not perform direct exchanges or refunds.

    Products must be returned in their original packaging, unopened, accompanied by a return invoice and all accessories.

  6. Limitation of Commercial Liability.                                                                                                                           

    Young Technologies is not responsible for indirect damages, lost profits, or operational losses resulting from the use of the products or services purchased.

    Its role is limited to representation and advisory support, without a direct contractual link to the supply or warranty of the products sold by partner distributors.

  7. Applicable Legislation and Jurisdiction

    All contracts, proposals, and commercial operations are governed by the laws of the Federative Republic of Brazil.

    The forum of the District of São Paulo/SP is elected as competent to resolve any disputes arising from commercial relations, waiving any other, no matter how privileged it may be.
